1. Scope of these Terms
These Terms apply only to your use of the Site. They do not govern bookkeeping, tax preparation, payroll administration, financial reporting, or other paid services. Client services are governed by a separate written engagement agreement, together with any applicable statements of work, authorizations, consents, or platform terms.
2. Informational purposes only
Site content is provided for general educational and informational purposes. It is not tax, accounting, legal, financial, investment, payroll, human-resources, or other professional advice, and it should not be relied upon as a substitute for advice based on your particular facts and circumstances.
Examples, checklists, articles, calculators, estimates, descriptions of common practices, and other resources may simplify complex subjects. Laws, filing rules, deadlines, software features, agency guidance, and professional standards may change, and Site content may not reflect the most recent developments.
3. No client or professional relationship
Viewing the Site, submitting a form, scheduling or attending an introductory consultation, calling us, or otherwise contacting Steady does not create a client, accountant-client, tax-practitioner-client, attorney-client, fiduciary, confidential, or other professional relationship.
Steady accepts an engagement only through a written agreement that identifies the client and scope of services and is accepted by Steady and the client. We may decline any prospective engagement in our discretion, including because of capacity, scope, conflicts, credentials, risk, or other business considerations.
4. Services and credentials
Steady may provide bookkeeping, cleanup and catch-up bookkeeping, payroll administration, tax preparation, QuickBooks support, financial reporting, and related financial operations services, subject to the scope stated in a signed engagement agreement.
Steady is not a CPA firm. Unless expressly stated in a signed engagement agreement, Steady does not provide audits, reviews, examinations, attestations, assurance services, legal services, investment advice, securities advice, or services requiring a license or credential that Steady or the assigned professional does not hold. Credentials and designations are described as accurately as reasonably possible, and Site content should not be interpreted as claiming a license, designation, or right to practice that has not been obtained.
5. No reliance, deadlines, and client responsibilities
You remain responsible for obtaining advice appropriate to your circumstances and for protecting your own rights and interests. Unless Steady expressly accepts responsibility for a specific matter in a signed engagement agreement, you remain responsible for all filing, payment, registration, renewal, response, election, deposit, payroll, tax, and other deadlines.
You are also responsible for the completeness and accuracy of information you provide, for reviewing filings and reports before approval or submission, and for maintaining records required by law or reasonably needed to support your positions.
6. No guarantee of outcomes
We do not guarantee any tax result, refund amount, savings amount, business result, financial outcome, software result, agency decision, or other particular outcome. Testimonials, examples, case descriptions, projected benefits, or statements about potential efficiencies are illustrative only and do not guarantee that you will achieve the same or similar results.
Any pricing, package, timing, or service information displayed on the Site is general information and may change. It is not a binding offer. Final scope, fees, responsibilities, and timing are established only in a written engagement agreement or proposal accepted by Steady.
7. Sensitive information and communications
General website forms, ordinary email, scheduling tools, and introductory communications may not be secure. Do not submit Social Security numbers, taxpayer identification numbers, bank or payment credentials, passwords, tax returns, payroll records, government identification documents, or other sensitive information through general Site forms unless we specifically direct you to a secure method.
If you become a client, use the secure portal or another method designated by Steady for sensitive documents and information. Sending information before an engagement is accepted does not require Steady to retain, review, protect, or act upon it beyond obligations imposed by applicable law.
8. Permitted use and prohibited conduct
You may use the Site only for lawful, personal, and internal business purposes. You may not:
- interfere with the Site, bypass security measures, probe for vulnerabilities, or attempt unauthorized access;
- introduce malicious code, automated requests, scraping tools, or excessive traffic that could impair the Site;
- use the Site to violate law, infringe intellectual-property or privacy rights, impersonate another person, or submit false or misleading information;
- copy, republish, sell, license, or commercially exploit Site content except with our written permission; or
- use Site content or branding in a way that suggests sponsorship, endorsement, partnership, or affiliation that does not exist.
We may restrict or suspend access to the Site when we reasonably believe these Terms have been violated or access presents a security, operational, legal, or reputational risk.
9. Intellectual property
The Site and its text, design, graphics, logos, trademarks, service marks, downloads, and other content are owned by or licensed to Steady and are protected by applicable intellectual-property laws. Subject to these Terms, you may view, print, or share reasonable excerpts for personal or internal, non-commercial reference, provided that you do not remove notices, alter the content in a misleading way, or imply endorsement.
No license or ownership right is granted except the limited permission expressly stated in these Terms.
10. Downloadable materials and resources
Any checklist, template, guide, worksheet, calculator, or other downloadable material is provided for general information and convenience. It may require customization and professional review before use. You are responsible for determining whether it is appropriate for your situation and for verifying all calculations, dates, assumptions, and requirements.
11. Third-party links and tools
The Site may link to or use third-party websites, applications, scheduling services, analytics services, payment tools, accounting platforms, payroll platforms, or other resources. Third parties operate under their own terms and privacy practices. We do not control and do not guarantee their content, availability, accuracy, accessibility, security, or performance.
A link, integration, or reference does not necessarily constitute endorsement. Your use of a third-party service is subject to that provider's terms and is at your discretion, except to the extent a signed engagement agreement expressly allocates responsibility differently.
12. Privacy
Our collection and use of information through the Site are described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference to the extent applicable to Site use.
13. Site availability and changes
We may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee that the Site or any particular content or feature will remain available, uninterrupted, secure, complete, or error-free. We may correct errors or update content without notice.
14. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Site and all Site content are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. This includes implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.
Some jurisdictions do not allow certain warranty exclusions, so some of the above exclusions may not apply to you. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
15. Limitation of liability
To the fullest extent permitted by applicable law, Steady, Dyakov Group LLC, and their owners, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of business opportunity, or business interruption arising from or related to use of, inability to use, or reliance on the Site or Site content, even if advised that such damages may occur.
These Terms do not limit obligations expressly accepted in a signed client engagement agreement. Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited.
16. Governing law and venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Except where applicable law requires otherwise, a dispute arising solely from access to or use of the Site must be brought in a state or federal court located in Mecklenburg County, North Carolina, and each party consents to the jurisdiction of those courts.
17. Changes to these Terms
We may revise these Terms from time to time by posting an updated version on this page and changing the "Last updated" date. The revised Terms apply prospectively from the date posted. Your continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law.
18. General provisions
You must be at least 18 years old to use the Site. The Site is intended for users in the United States.
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, sale, transfer, or similar business transaction.
These Terms and the Privacy Policy constitute the entire agreement between you and Steady regarding public Site use. They do not replace any signed engagement agreement or other agreement governing paid services. Section headings are for convenience only and do not affect interpretation. No person other than you and Steady is intended to have rights under these Terms.
